The purpose of the Lassen Motorcycle Club is to promote the sport of motorcycling as a healthy and active family recreational sport through educating the public at meetings, respecting the environment when we ride, having competitive and non-competitive events, holding organizational meetings, and participating in the local and regional decision making process and through the image of the members.


ARTICLE 1
Principal office

Section 1: Principal office
Located at Susanville, California / Reno NV. The board of Directors is hereby granted full power and authority to change said principal office from one location to another in the County of Lassen/ Washoe. Any such change shall be noted by the secretary opposite this section, but shall not be considered an amendment of these by-laws.

ARTICLE 2
Membership

Section 1: Eligibility of membership
Must attend all predetermined meetings given from Jan. 1st to the annual Lassen M/C race date. Can not miss more than 2 meetings in a row without an excused absence. After the above period of time, the Lassen M/C officers to make the member official. Individuals wishing to become a member must be "sponsored" by a current club member, present themselves at a club meeting by way of introduction, and the club will then vote as to their acceptance into the club. Referral by an MRANN officer will put in the club immediately with a probation period of 3 consecutive meetings.

Section 2: Termination of membership
A membership shall terminate upon the death or resignation of the member, or upon his expulsion by a majority vote of the members and elected officials. A member may be expelled for nonpayment of club dues or for conduct that the members and elected officials shall deem inimical (adverse) to the best interest of the club. A member may not transfer his or her membership or any right arising there from, and any attempted transfer of a membership shall cause such cease upon termination of his or her membership.

Section 3: Dues of membership
Dues shall be $20.00 for members competing in sanctioned events, $10.00 for non competitive members. Membership fees are due at the first predetermined meeting of the beginning of the year. Any officer (highest rank first) shall receive dues with a grace period of 30 days, then presented to the treasurer. Anyone admitted membership after June 31st of that year would be required to pay half of the yearly fees.


Section 4: Voting
All members shall have equal voting and other rights. Each member shall be entitled to one vote, which must be cast in person. Any member can make a motion to vote, the majority vote will determine the out come.

ARTICLE 3
Meetings

Section 1: Lassen Motorcycle Club will hold a meeting every month, on the 2nd Tuesday.
Unless noted otherwise by the elected official at the last meeting.

Section 2: All meetings will be held at a predetermined place and time (Round Table Pizza Golden Valley NV @ 7:00 pm).

Section 3: There will be no excessive alcohol drinking prior or during the meeting (listening and decision making process); there shall be no talking while a member or official has the floor.

Section 4: All meetings will follow the format of the provided agenda.
1. Meeting called to order
2. Roll call
3. Reading minutes of previous meeting
4. Reports of officers
5. Old business
6. MRANN business
7. New business
8. Open discussion
9. Race Team update
10. Closing of meeting

Section 5: Any member desiring the privilege of the floor shall rise and address the President. No member shall be allowed to speak until properly recognized by the President. Only one member shall speak at a time with no more than 5 minutes.

Section 6: Any violation of these rules may result in dismissal from the meeting and/or a fine of $5.00 may be applied.

ARTICLE 4
Elections

Section 1: All elections will be held on the last meeting of the year, not after the first of Jan. Nominations for officers positions will be taken in the Nov. meeting. There will be no set limit on the number of terms served by an officer. If any officer may not fulfill his/her term, there will be a special election to fill his/her seat.

Section 2: Positions up for election each year will consist of the following.
1. President
2. Vice President
3. Secretary
4. Treasurer
5. MRANN Reps.
6. Legislative


ARTICLE 5
Officers


Section 1: Officers
The head officers of the club shall be President, Vice President, Secretary and Treasurer. The club may also have such other officers as may be appointed by the President and Vice President or Majority vote by all members. One person may hold two offices, except those of the President and Secretary.

Section 2: Removal and Resignation
Any officer may resign, or may be removed with or without cause by the majority vote of the members of the club at any time. Vacancies caused by death, resignation or removal of any officer may be filled by appointment by majority vote of the club members.

Section 3: President
The President shall be the executive officer of the club. Shall have general supervision, direction and control of the affairs of Lassen Motorcycle Club. He or she shall preside at all meetings of members and all other meetings concerning the clubs affairs.

Section 4: Vice President
The Vice President shall, in the absence or disability of the President, perform all the duties of the President, and when so acting shall have the powers of, and be subject to the restrictions upon, the President.

Section 5: Secretary
The Secretary shall keep a book of minutes of all the club meetings, with the time and place of holding, how called and authorized, the notice thereof given, the names of those present and the proceedings thereof. The Secretary shall keep at the principal office of the club a register showing the names and addresses of the members. Shall present a copy of the minutes to the President no more than two days after the meeting.

Section 6: Treasurer
The Treasurer shall keep and maintain adequate and correct books of the account showing the receipts and disbursements of the club, and an account of its cash and other assets, if any. Such books of account shall at reasonable times be open to inspection by any head officer.

Section 7: Power of members
New by-laws may be adopted or these by-laws may be amended or repealed by the majority vote of members, entitled to exercise a majority of the voting power of the club or by the written assent of such members, except as otherwise provided by law or by the articles of Incorporation.

Certificate of President

I, the undersigned, do hereby certify that I am the duty elected and acting President of LASSEN MOTORCYCLE CLUB, a California and Nevada nonprofit corporation, and that the foregoing By-Laws comprising four pages constitute the By-Laws of said corporation as held on ______________________, 2006.
